These Terms of Service are entered into by and between you and Hearts Distribution LLC ("Hearts Compliance"). The terms govern your access to and use of heartsdistro.com, including all content, functionality, and services offered on the platform.

Please read the Terms carefully before using the Service. By accessing the Service, you accept and agree to be bound by these Terms and the Privacy Policy. If you disagree, you must not access or use the Service.

Access and Use of the Service

Hearts Compliance operates a platform that provides compliance and licensing services for spirits producers navigating multi-state direct-to-consumer licensing. When engaging our services, you contract directly with Hearts Distribution LLC.

Hearts Compliance facilitates interactions between spirits producers and state regulatory bodies. We do not own, sell, resell, or deliver alcoholic beverage products. Responsibility for all licensed activities lies solely with the licensed producer.

Registration and Account

Registration is required to access certain Service features. You agree to provide and maintain true, accurate, current, and complete information. You remain responsible for all account activities.

Services and Pricing

Hearts Compliance makes no representations or warranties concerning the timeline or outcome of any licensing application. Service availability and pricing are set by Hearts Distribution LLC and are subject to change.

Orders and Applications

Submitting a licensing request authorizes Hearts Compliance to prepare and submit applications on your behalf to applicable state agencies. Hearts Compliance reserves the right to refuse any engagement.

Refunds

For billing inquiries, contact us at support@heartsdistro.com. Refund eligibility varies depending on the stage of service delivery. State filing fees are non-refundable once submitted.

Payment

You may use available payment methods through our payment processor. Hearts Compliance's role is limited to facilitating the payment process for services rendered.

User Conduct

You agree not to use the Service for prohibited purposes and remain responsible for all activity connected to your account. You represent that all information provided to Hearts Compliance is accurate and that you are authorized to act on behalf of your business.

Intellectual Property Rights

The Service may contain content protected by copyright, patent, trademark, trade secret, or other proprietary rights. Except as expressly authorized, you may not modify, copy, frame, scrape, rent, lease, loan, sell, distribute, or create derivative works based on the Service or its content.

The Hearts Compliance name and logos are trademarks and service marks of Hearts Distribution LLC. Nothing in these Terms grants any license or right to use our trademarks without prior written permission.

Indemnification

You agree to defend, indemnify, and hold harmless Hearts Distribution LLC, its affiliates, officers, employees, directors, service providers, licensors, and agents from losses, damages, and expenses arising from your use of the Service, violation of these Terms, or violation of another's rights.

Disclaimers

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. Hearts Compliance expressly disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability and fitness for a particular purpose.

Hearts Compliance does not guarantee approval of any state licensing application. Outcomes depend on state regulatory bodies outside our control.

Limitation of Liability

Hearts Distribution LLC will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or damages for loss of profits. Total liability will not exceed the amount paid in the last six months or $100, whichever is greater.

Dispute Resolution

Any disputes must be resolved through final and binding arbitration rather than in court, except for small claims court matters. You and Hearts Distribution LLC agree that claims may only be brought on an individual basis and not as a plaintiff or class member in any class or representative action.

Termination

Hearts Compliance may suspend or terminate your account or Service access for any reason, including non-use or violation of these Terms.

General

These Terms constitute the entire agreement governing your access to and use of the Service. They are governed by the laws of the state in which Hearts Distribution LLC is registered, without regard to conflict of law provisions.
